The following terms and conditions apply to your use of the LaxCoach AI platform and the services available on the platform. By using the platform, you agree to these terms and conditions and our privacy policy. 

In these terms and conditions, the words “platform” refer to the LaxCoach AI mobile application and the LaxCoach AI website together, “we”, “us”, “our”, and “LaxCoach AI”, refers to LaxCoach AI, and “you”, and “user”, refers to you, the LaxCoach AI user.

PLEASE READ THESE CONDITIONS CAREFULLY BEFORE USING THE SERVICES AND FUNCTIONALITIES AVAILABLE ON THE PLATFORM.  

1. ACCEPTANCE OF TERMS

By accessing and using the LaxCoach AI platform, you agree to be fully bound by the terms and conditions set forth in this agreement. If you do not agree to any of the terms, you must refrain from using the platform or its services. We reserve the right to modify this agreement at any time. Any modifications will be effective upon posting on the platform. By continuing to use LaxCoach AI following the posting of a modification, you expressly agree to be bound by the updated terms. For this reason, we recommend that you review this agreement periodically to stay informed of any changes.

By using the platform, you represent and warrant that you have full legal capacity, power and authority to enter into this agreement and to perform your obligations hereunder. You further confirm that you are not subject to any legal, contractual or other restriction that limits or prevents your ability to accept these terms and conditions. You warrant that you will use the platform in accordance with applicable laws and regulations and that your use will not infringe any third-party rights or contravene any applicable regulations.

Your acceptance of this agreement constitutes a binding commitment by you and any entity you represent to adhere to the terms set forth herein and any additional policies posted on the platform. This commitment includes your obligation to ensure that all information provided during registration and use of the platform is truthful, accurate and up to date. LaxCoach AI will not be liable for any breach of these terms by users, and any violation of these terms may result in the suspension or termination of your access to the platform.

2. ELIGIBILITY

Access to and use of the LaxCoach AI platform is strictly limited to individuals who are at least thirteen (13) years of age at the time of registration. By creating an account or using any feature of the application, you expressly represent that you meet this minimum age requirement. LaxCoach AI is not intended for children under the age of thirteen (13), and any use by a person who does not meet this requirement constitutes a violation of these Terms and Conditions and may result in the immediate suspension or termination of the corresponding account.

For users between the ages of thirteen (13) and eighteen (18), it is recommended that the application be used under the supervision or with the consent of their parents or legal guardians. It is understood that parents or legal guardians are fully responsible for the minor’s activity within the platform, including acceptance of these Terms and Conditions and the Privacy Policy.

LaxCoach AI reserves the right to require, at any time, reasonable verification of the user’s age, and to restrict, suspend, or cancel access to the application if there are indications that the established age requirements are not met or that false or inaccurate information has been provided in this regard.

3. NOTIFICATIONS AND COMMUNICATIONS

By registering and using LaxCoach AI, the user expressly accepts and authorizes the sending of notifications and communications related to the platform through various channels, including push notifications, email, and SMS messages. These notifications may include, among others, personalized advice, results analysis, reminders, notices about new features, system updates, account status information, and commercial or promotional communications related to the services offered by LaxCoach AI or by authorized third parties.

The user acknowledges and accepts that certain notifications are an essential part of the platform’s operation and may be necessary for the proper use of the contracted services, such as transaction alerts, payment confirmations, activity reminders, or technical notices. Likewise, the user agrees to receive communications of an informative or advertising nature, including promotions, recommendations, or news, unless otherwise indicated through the opt-out mechanisms provided.

The user may manage their notification preferences at any time from their account settings within the application, including enabling or disabling push notifications. With regard to communications sent by email, the user may opt out of receiving them by clicking on the “unsubscribe” link included at the bottom of each message. 

LaxCoach AI is not responsible for the effects of disabling certain essential notifications, which may affect the user experience or access to key features of the platform. The user understands that, even if they unsubscribe from promotional communications, they may continue to receive messages that are strictly necessary for the provision of the contracted services or for the fulfillment of contractual obligations.

4. DESCRIPTION OF THE PLATFORM 

LaxCoach AI is a mobile app available exclusively through the App Store, designed to offer users a sports training experience based on artificial intelligence and computer vision. Its main purpose is to accurately analyze lacrosse throwing technique by processing videos provided by the users themselves. Using advanced frame-by-frame analysis tools, the app generates detailed scores on throwing form, tracks posture and joints, and provides personalized feedback aimed at improving individual performance. LaxCoach AI is aimed at youth and amateur lacrosse players, as well as coaches and parents interested in promoting the development of sports skills based on objective data. The platform is designed for use on mobile devices and via its web version, allowing users to record, review, and store their videos and analysis, and access specific metrics that enable them to track their technical progress over time.

5. REGISTRATION AND USER ACCOUNT

To access the features of LaxCoach AI, the user must create a personal account through the registration process enabled in the application. Registration can be done using an Apple account or, if enabled, by providing a valid email address. By completing the registration process, the user agrees to provide accurate, truthful, and up-to-date information and to always keep such information current while using the platform.

Each user is solely responsible for maintaining the confidentiality of their login credentials, including passwords, tokens, or any other authentication data associated with their account. The user agrees not to share, disclose, or transfer their login credentials to third parties and assumes full responsibility for all activities carried out through their account, regardless of whether they have been authorized by the account holder.

If the user detects unauthorized use of their account or any breach of security, they must notify us immediately through the contact channels provided within the application. LaxCoach AI reserves the right to suspend, limit, or cancel access to the account of any user who engages in fraudulent activities, provides false information, violates these Terms and Conditions, or compromises the security or integrity of the platform. Likewise, LaxCoach AI may establish technical or functional limitations on the use of the account, in accordance with security, maintenance, or service improvement criteria.

The user may request the deletion of their account at any time through the mechanisms enabled within the platform or by sending a direct request through the contact channels indicated in the privacy policy. Once the account deletion has been confirmed, LaxCoach AI will proceed to deactivate the user’s access and delete, anonymize, or block their personal data in accordance with our privacy policy, unless there is a legal obligation to retain such information for an additional period.

6. IN-APP SUBSCRIPTIONS

LaxCoach AI offers access to certain features and content through subscriptions available exclusively as in-app purchases, which can be purchased on a monthly or annual basis through Apple’s payment system. By subscribing, the user agrees that the corresponding amount will be charged to their Apple account via Apple Pay, in accordance with the terms, conditions, and policies established by Apple in relation to billing and payment processing.

Subscriptions will automatically renew at the end of each billing period, unless the user chooses to cancel them before the automatic renewal date. A subscription may be canceled at any time through the user’s account settings in the App Store and will remain in effect until the end of the period already paid for, with no refund for the remaining unused time. Deleting the app or not using it does not cancel the subscription or exempt the user from their payment obligations.

Apple acts as the sole intermediary in the management of payments, renewals, and, where applicable, refunds related to subscriptions purchased within the app. Any request for a refund, adjustment, or claim regarding charges made must be directed to Apple, in accordance with its current refund policies. LaxCoach AI has no access to or control over the user’s payment methods or Apple’s billing practices and cannot issue refunds directly under any circumstances.

The user is responsible for regularly reviewing the terms of their subscription and keeping their payment information up to date in their Apple account. Failure to pay or the inability of Apple’s system to process the charge may result in the automatic suspension of access to LaxCoach AI’s paid features until the situation is resolved.

7. IN-APP PURCHASES

LaxCoach AI allows users to purchase individual videos for analysis, as well as credit packages that can be used to access specific features within the platform. These purchases are made exclusively through the in-app purchase system via the App Store and are processed through the payment system enabled by Apple. By confirming a purchase within the app, the user authorizes the corresponding charge to be made to their Apple account, in accordance with the terms and conditions established by Apple for such transactions.

All purchases of individual videos and credit packages are final and non-refundable. The user expressly acknowledges and agrees that, once the transaction is complete, they will not be entitled to a full or partial refund of the amount paid, regardless of whether the credits are used or not, or whether the user decides to discontinue use of the platform. Likewise, the removal of the application from the device or the user’s failure to meet the technical requirements will not give rise to any refund.

Apple acts as the exclusive payment service provider for these transactions and is solely responsible for billing, payment processing, and, where applicable, refund management in accordance with its own policies. Any claims related to incorrect charges, transaction failures, or refund requests should be directed to Apple through the support channels available in the App Store. LaxCoach AI does not intervene in the direct management of payments and does not have the authority to issue refunds under any circumstances.

The user is responsible for reviewing the terms and conditions of each purchase before confirming the transaction, as well as for properly managing the use of the credits purchased. Credits are non-transferable, cannot be exchanged for cash or other services outside the platform, and may be subject to additional terms of use indicated at the time of purchase.

8. USER CONTENT

Videos, recordings, comments, data, and other materials generated, uploaded, or transmitted by users through the LaxCoach AI platform, including but not limited to lacrosse shot recordings, written observations, and any other user-generated content, shall remain the sole property of the user who created or provided them. LaxCoach AI does not acquire ownership of such content, and the user retains all rights, title, and interest in and to such content.

Notwithstanding the foregoing, by uploading, recording, or transmitting any content through the application, the user grants LaxCoach AI a non-exclusive, worldwide, limited, royalty-free, sublicensable, solely for operational purposes, and revocable license to access, store, process, analyze, view, reproduce, and display such content within the platform environment, solely to the extent necessary to provide the services contracted by the user. This license includes the right to use such content to apply analysis algorithms, generate form scores, personalized comments, and allow the user to view, store, and consult their data within their account, without this implying any commercial use by LaxCoach AI beyond what is strictly necessary for the functionality of the service.

The license is granted exclusively to facilitate the proper functioning of the platform, optimize the user experience, and ensure the availability of analyses and records within the user’s account, without in any case being interpreted as a transfer of economic rights over the content. The content will not be disclosed or shared with third parties, unless expressly authorized by the user, required by law, or by valid court order.

The user declares and guarantees that they have all the necessary rights to upload and use such content within the platform, and that it does not infringe the rights of third parties, including intellectual property rights or rights to personal or sensitive data of other persons. LaxCoach AI reserves the right to suspend or remove content that, in its reasonable judgment, violates these Terms and Conditions, violates applicable law, or compromises the security or integrity of the service.

9. LIMITATION OF LIABILITY

LaxCoach AI is a technological tool designed for informational and sports guidance purposes, whose purpose is to provide users with form analysis, technical feedback, and personalized recommendations based on artificial intelligence and computer vision. Notwithstanding the efforts made to maintain an accurate, functional, and secure service, use of the platform is at the user’s own risk and is subject to the limitations detailed below.

LaxCoach AI does not guarantee that the results, analysis, scores, or comments generated by the application are accurate, complete, error-free, or appropriate for each individual user. The analysis provided by the platform is based on algorithmic models and does not replace professional guidance from certified human trainers or constitute medical, physical therapy, or fitness advice. All information and recommendations offered should be understood as guidance and advice, and not as absolute determinations about the user’s performance, technique, or physical condition.

Comments generated by artificial intelligence are the result of data patterns and automated processes, and should not be interpreted as professional advice, clinical diagnoses, therapeutic indications, or guarantees of improvement. The user is responsible for applying their own judgment and, where appropriate, consulting with qualified professionals before acting on such information.

Users are solely responsible for ensuring that the environment in which they record or perform physical exercises related to the use of the application is safe, suitable, and free of obstacles. This includes, but is not limited to, selecting an appropriate surface, using equipment in optimal condition, supervising minors, and implementing reasonable measures to prevent accidents. LaxCoach AI is not responsible under any circumstances for physical injury, discomfort, personal injury, or property damage that may arise as a direct or indirect result of using the platform, including those arising from practicing throws, exercises, recordings, or following the recommendations offered by the application.

Furthermore, there is no guarantee that the platform will function without interruptions, technical errors, connectivity failures, incompatibilities with devices, or data loss. LaxCoach AI shall not be liable for the inability to access or use the application due to circumstances beyond its control, such as operating system updates, technical limitations of the device, errors in third-party services such as Apple or cloud storage services, or network failures.

To the fullest extent permitted by applicable law, LaxCoach AI assumes no liability for any direct, indirect, incidental, consequential, punitive, or special damages resulting from the use or inability to use the platform, including but not limited to loss of data, loss of income, business interruptions, personal injury, or any other damages arising from access to or use of the services.

The user expressly acknowledges that the use of LaxCoach AI is voluntary and that they assume all responsibility arising from such use, including the evaluation and application of any recommendations generated by the platform. The user expressly exempts LaxCoach AI, its developers, affiliates, technology partners, and operators from any claim, demand, or legal action related to the use of the application, except in cases where liability cannot be legally excluded.

10. LICENSE TO USE THE PLATFORM

LaxCoach AI grants the user a personal, worldwide, royalty-free, non-transferable, non-sublicensable, non-exclusive, non-sublicensable license to download and use the LaxCoach AI mobile application, available through the App Store. This license includes access to modified versions, updates, upgrades, enhancements, extensions, add-ons and copies of the app, if available. The exclusive purpose of this license is to allow the user to access and use the functionalities offered by the platform in accordance with the terms and conditions set forth in this agreement.

The user agrees to use the platform diligently, lawfully and in full compliance with applicable regulations, refraining from any activity that is negligent, fraudulent, harmful or in any way compromises the integrity of LaxCoach AI, its services or the experience of other users. Use of the platform for actions that may damage the reputation, interests or rights of LaxCoach AI, its affiliates or third parties is strictly prohibited, including but not limited to:

  • Attempting to access unauthorized systems or reverse engineer the platform.
  • Employ automated techniques to interact with the platform in an unauthorized manner.
  • Engage in activities that may disrupt, overload or compromise the technical operation of the platform.

LaxCoach AI reserves the right, at its sole discretion, to suspend or terminate the user’s access to the platform immediately and without liability to the user, if any breach of the stated conditions is detected. This cancellation may be carried out with or without prior notice, depending on the nature and severity of the breach. In addition, LaxCoach AI reserves the right to take legal action if the improper use of the platform generates economic, technical or reputational damage to the company or third parties.

The user acknowledges that the license granted is revocable and that its continuity depends on full compliance with these conditions. Any unauthorized or prohibited use of the platform may result in the immediate termination of this license and the adoption of the necessary legal measures to protect the rights and interests of LaxCoach AI.

11. COPYRIGHT

All rights, titles, and interests related to the LaxCoach AI application, including but not limited to its source code, design, interface, structure, logos, graphics, trade names, trademarks, audiovisual content, interactive elements, databases, texts, sounds, and any other component incorporated into the application or its website, are the exclusive property of their respective owners and are protected by applicable intellectual property and copyright laws. Any reproduction, distribution, modification, adaptation, translation, publication, display, stream, broadcast, or exploitation, in whole or in part, of the contents or elements of LaxCoach AI without the prior express written consent of the owner is expressly prohibited. Use of the application does not grant the user any ownership rights, license, or authorization over the protected rights, except those strictly necessary for the legitimate use of the application in accordance with these terms and conditions. Any unauthorized use of the protected elements may result in civil or criminal legal action, as appropriate. LaxCoach AI reserves all rights not expressly granted in this document.   

12. COPYRIGHT COMPLAINTS 

LaxCoach AI will respond to all inquiries, complaints and claims regarding alleged infringement for failure to comply with or violation of the provisions contained in the Digital Millennium Copyright Act (DMCA). LaxCoach AI respects the intellectual property of others and expects users to do the same.  If you believe, in good faith, that any material provided on or in connection with the website infringes your copyright or other intellectual property right, please send us your copyright infringement request pursuant to Section 512 of the Digital Millennium Copyright Act (DMCA), via our contact information, with the following information:  

  • Identification of the intellectual property right that is allegedly infringed. All relevant registration numbers, or a statement concerning the ownership of the work, should be included.
  • A statement specifically identifying the location of the infringing material, with enough detail that LaxCoach AI may find it on the platform.  
  • Your name, address, telephone number and e-mail address.
  • A statement by you that you have a good faith belief that the use of the allegedly infringing material is not authorized by the owner of the rights, or its agents, or by law.
  • A statement by you, made under penalty of perjury, that the information in your notice is accurate, and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
  • An electronic or physical signature of the owner of the copyright or the person authorized to act on behalf of the owner of the copyright interest.

13. PROHIBITED ACTIVITIES

The following activities are prohibited:

  • Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content of the platform, including, but not limited to, using any robot, spider, scraper or other automated means or any manual process for any purpose not in accordance with these terms.
  • Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Deep link to any part of our platform for any purpose without our express written permission.
  • “Frame”, “mirror” or otherwise incorporate any part of the platform into any other platform or service without our prior written permission.
  • Attempt to modify, translate, adapt, edit, decompile, disassemble or reverse engineer any software used by LaxCoach AI.
  • Evade, disable or otherwise interfere with security-related features of the platform or features which prevent or restrict the use or copying of any content.

14. DISCLAIMER OF WARRANTIES 

Due to the nature of the Internet, LaxCoach AI provides and maintains the platform on an “as is”, “as available” basis and does not promise that use of the platform will be uninterrupted or error free. We shall not be liable to the user or any third party if we are unable to provide our platform and services for any reason beyond our control.

Our platform may from time to time contain links to other platforms which are not under the control of and are not maintained by us. These links are provided for your convenience only and we are not responsible for the content of those sites.

Except as provided above we can give no other warranties, conditions or other terms, express or implied, statutory or otherwise and all such terms are hereby excluded to the maximum extent permitted by law.

You will be responsible for any breach of these terms by you and if you use the platform in breach of these terms you will be liable to and will reimburse LaxCoach AI for any loss or damage caused as a result.

LaxCoach AI shall not be liable for any amount for any failure to perform any obligation hereunder if such failure is due to the occurrence of any unforeseen event beyond its reasonable control, including, without limitation, Internet outages, communications outages, fire, flood, war or force majeure.

These terms do not affect your statutory rights as a consumer which are available to you.

Subject as aforesaid, to the maximum extent permitted by law, LaxCoach AI excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to LaxCoach AI and LaxCoach AI shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

  • Any incorrect or inaccurate information on the platform.
  • The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the platform or any product purchased through the platform.
  • Any loss or damage resulting from your use or the inability to use the platform or resulting from unauthorized access to, or alteration of your transmissions or data in circumstances which are beyond our control.
  • Any loss of profit, wasted expenditure, corruption or destruction of data or any other loss which does not directly result from something we have done wrong.
  • Any amount or kind of loss or damage due to viruses or other malicious software that may infect a user’s computer equipment, software, data or other property caused by persons accessing or using content from the platform or from transmissions via emails or attachments received from LaxCoach AI.
  • All representations, warranties, conditions and other terms which but for this notice would have effect.

15. USE OF THIRD-PARTY SERVICES

LaxCoach AI may use various third-party services to enable, improve, and maintain the operation of the platform. These services include, but are not limited to, authentication tools (such as Apple), cloud storage (such as iCloud or Amazon Web Services), usage analytics systems, artificial intelligence solutions, and payment processing integrated into the App Store. These third-party providers may process certain user data only to the extent necessary to provide their services securely, efficiently, and in accordance with LaxCoach AI’s intended purposes.

By using the platform, the user agrees that some of their data may be collected or processed by these third parties in accordance with their respective policies and terms. LaxCoach AI is not responsible for the privacy practices or policies of these providers and recommends that you review their terms directly to understand how they handle data. Continued use of LaxCoach AI implies consent to these types of integrations, always within the framework necessary to properly provide the features offered.

16. ACCESSIBILITY AND ADA COMPLIANCE

LaxCoach AI is committed to providing an accessible and inclusive platform and recognizes the importance of ensuring that all users, including those with disabilities, can access and use its services on an equal basis. To the extent possible, LaxCoach AI strives to make its mobile application and website compliant with the accessibility principles set forth in the Americans with Disabilities Act (ADA) and generally accepted technical and design accessibility guidelines, such as the Web Content Accessibility Guidelines (WCAG).

While LaxCoach AI cannot guarantee that all elements or functions are fully adapted to all assistive devices or particular needs, it strives to identify access barriers and make improvements that allow for a functional navigation and experience for all users. Users who encounter accessibility difficulties or barriers when using the platform can contact the LaxCoach AI support team directly, which is committed to evaluating and, to the extent possible, responding to reasonable requests to facilitate access to the information, functions, and content available. The commitment to accessibility is ongoing, and any comments that contribute to improving inclusion will be valued and considered for future updates.

17. INDEMNIFICATION

You agree to defend and indemnify LaxCoach AI and any of their directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

  • Your breach of this agreement or the documents referenced herein.
  • Your violation of any law or the rights of a third party.
  • Your use of the platform.

18. CHANGES 

We may change the platform and these terms at any time, in our sole discretion and without notice to you. You are responsible for remaining knowledgeable about these terms. Your continued use of the platform constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified herein, all changes to these terms apply to all users take effect. 

19. PERSONAL DATA

Any personal information you submit in connection with your use of the platform as a user will be used in accordance with our privacy policy. See our privacy policy.

20. INTEGRATION CLAUSE

This agreement together with the privacy policy and any other legal notices published by LaxCoach AI, shall constitute the entire agreement between you and LaxCoach AI concerning and governs your use of the platform.

21. SEVERABILITY

If any section of these terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. Our failure to enforce or delay in enforcing any provision of these terms at any time does not waive our right to enforce the same or any other provision in the future.

22. FORCE MAJEURE

LaxCoach AI shall not be liable for any failure to perform due to causes beyond its reasonable control, including, without limitation, fortuitous events, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts that may be due to unforeseen circumstances.

23. TERMINATION

Both the user and LaxCoach AI acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.

In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, LaxCoach AI reserves the right to unilaterally terminate the user’s access to and use of the platform. LaxCoach AI may take this action without prior notice, and the User will automatically lose all rights to access and use the platform. Furthermore, LaxCoach AI shall not be liable for any loss of data or information associated with the user’s account.

In case of non-compliance by LaxCoach AI: If LaxCoach AI fails to comply with its obligations under the agreed terms and conditions, the User shall be entitled to terminate the agreement and stop using the platform. The user shall notify LaxCoach AI in writing of the breach and allow a reasonable time for LaxCoach AI to remedy the situation. If LaxCoach AI does not remedy the breach within the set period, the user may proceed with the termination of the agreement.

Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination. 

Continued use of the platform after termination of the agreement by either party shall imply acceptance of the conditions set forth in the terms and conditions in effect at that time.

24. DISPUTE RESOLUTION

Any dispute, claim or controversy arising between a user and LaxCoach AI in connection with these terms and conditions, the use of the platform or the services provided, shall be resolved exclusively through alternative dispute resolution mechanisms, including mediation and arbitration, as detailed below.

First, both parties agree to use their best efforts to resolve any dispute informally. This includes direct communication between the parties involved to identify and address concerns or disagreements quickly and efficiently. Users may contact LaxCoach AI through designated support channels to raise any disputes. The company commits to respond within a reasonable period, providing an opportunity to resolve the issue without resorting to formal procedures.

If the parties fail to resolve the dispute informally within thirty (30) days of initial notification of the dispute, the dispute will be submitted to mediation. The mediation shall be conducted before a neutral mediator selected by mutual agreement of the parties. If the parties are unable to agree on a mediator within an additional fifteen (15) days, a mediator shall be appointed through a recognized mediation agency. The costs of the mediation shall be shared equally between the parties, and the mediation shall be conducted in English and at a mutually agreed location or, if both parties agree, through a virtual platform.

If mediation does not result in a mutually satisfactory resolution, the dispute shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (AAA) or a similar internationally recognized body. The arbitration shall be conducted by a single neutral arbitrator, who shall be selected in accordance with the rules of the arbitration body. The place of arbitration shall be in the state of Massachusetts, United States. The language of the arbitration shall be English.

The arbitrator shall have exclusive authority to resolve the dispute, including determining the applicability and validity of these dispute resolution terms. The arbitrator’s decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Unless prohibited by applicable law, the parties agree to waive any right to bring the dispute in court or to participate in a class action.

This dispute resolution clause does not preclude LaxCoach AI from seeking injunctive or equitable relief in the event of intellectual property rights infringement, misuse of the platform, or any act that may cause irreparable harm, in which case it may go directly to a court of competent jurisdiction without exhausting alternative dispute resolution mechanisms.

By accepting these terms, users expressly waive any right to a jury trial and agree that all disputes will be resolved in accordance with the procedures set forth in this clause, with the objective of minimizing the costs and time associated with formal litigation. The parties assume their own costs associated with mediation and arbitration, unless otherwise agreed or specifically provided by the arbitrator.

25. APPLICABLE LAW AND JURISDICTION

These terms and conditions shall be governed by and construed in accordance with the laws of the United States, specifically the laws of the State of Massachusetts. Any dispute relating to these terms shall be subject to the exclusive jurisdiction of the state or federal courts of the State of Massachusetts. This applies unless binding arbitration is agreed to in the applicable section.   

26. FINAL PROVISIONS

Your use of our platform and purchase of our products is conditioned upon your acceptance of and compliance with all of the terms and conditions set forth. This authorization to use our services does not extend to jurisdictions where these provisions are not respected or applied.

Our commitment to compliance with these terms is strictly governed by applicable laws and legal process. Importantly, these terms do not restrict our ability to comply with legal or governmental requirements, including but not limited to those relating to law enforcement and the use of our platform. Information provided or collected in connection with your use of the platform and purchase of our products will be subject to these requirements.

If any provision of these terms and conditions shall be declared invalid, illegal or unenforceable by any court or competent authority, such decision shall not affect the validity or enforceability of the remaining provisions. The failure or delay in enforcing any of these terms and conditions by us at any time shall not constitute a waiver of our rights to enforce such provision, or any other provision, in the future.

We reserve all rights not expressly granted herein, always maintaining the protection and respect of our intellectual property rights and privileges.
